TheStreet, Inc. (the Company) announced today that it has effected a one-for-ten reverse stock split (the Reverse Stock Split) of the Companys common stock, par value $0.01 per share (the Common Stock). To effectuate the Reverse Stock Split, the Company filed a Certificate of Amendment of the Companys Restated Certificate of Incorporation (the Certificate of Amendment) with the Secretary of State of the State of Delaware. to and upon the effectiveness of the Certificate of Amendment at 12:01 a.m., Eastern Daylight Time, on April 26, 2019, each ten shares of Common Stock issued and outstanding at the effective time were reclassified and combined into one share of Common Stock.
American Stock Transfer Trust Company, LLC, the Companys transfer agent, will act as exchange agent for purposes of implementing the exchange of stock certificates.
A copy of the Certificate of Amendment is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
On April 26, 2019, the Company issued a press release announcing the effectiveness of the Reverse Stock Split. A copy of the press release is included as Exhibit 99.1.
