On March3, 2017, the Company completed a follow-on offering of
7,281,789 shares of its ClassA common stock by certain selling
stockholders, which includes the exercise in full by the
underwriters of their option to purchase 949,798 shares of ClassA
common stock, in each case, at a price to the public of $35.50
per share. A copy of the press release announcing the closing of
the follow-on offering is attached hereto as Exhibit 99.1 and is
incorporated herein by reference.
