Submission of Matters to a Vote of Security Holders. |
The Annual Meeting of Stockholders of the Company was held on
May11, 2017 for the purposes of (i)electing 13 directors to hold
office until the next annual meeting of stockholders;
(ii)ratifying the appointment of Deloitte Touche LLP as the
Companys independent registered public accounting firm for the
2017 fiscal year; (iii)holding an advisory vote to approve
executive compensation; and (iv)holding an advisory vote on the
frequency of future advisory votes to approve executive
compensation.
All of managements nominees for director as named in the Companys
Proxy Statement were elected by the votes set forth in the table
below.
