issued a press release announcing that the U.S. Nuclear
Regulatory Commission has approved the request from the
Company’s indirect, wholly owned subsidiary, Susquehanna
Nuclear, LLC, for an indirect transfer of control of the
operating licenses for both units at the Susquehanna nuclear
power plant in connection with the merger agreement between the
Company and affiliates of Riverstone Holdings LLC
(“Riverstone”). A copy of the press release is attached as
Exhibit 99.1 to this Current Report on Form 8-K and is
incorporated herein by reference.
Riverstone that Ralph Alexander, currently a director of the
Company and a partner of Riverstone, is expected to be named as
the Company’s Chief Executive Officer following the completion
of the merger transaction.
