Item 1.01 Entry into a Material Definitive
Agreement.
On November 16, 2016, Supreme Industries,Inc. (the
Borrower) entered
into an amendment of its April29, 2013 Amended and Restated
Credit Agreement (the Credit Agreement)
with Wells Fargo Bank, National Association, a national banking
association, and BMO Harris Bank, N.A. (the
Lenders), dated to be effective
November16, 2016. Supreme Corporation and certain other
subsidiaries of the Borrower (collectively, the
Guarantors),
have acknowledged this amendment.
The amendment (Amendment No.4 to Credit
Agreement) permits the Borrower to issue a special
dividend of up to $6,500,000 on or about January2, 2017.
The foregoing description of the Amendment No.4 to Credit
Agreement is qualified in its entirety by reference to the
complete terms and conditions of the Amendment No.4 to Credit
Agreement which is filed as Exhibit10.1 to this report and
incorporated herein by reference.
Item 8.01 Other Events.
On November17, 2016, Supreme Industries,Inc. issued a press
release announcing a special cash dividend of $0.265 per share on
its outstanding ClassA and ClassB Common Stock in addition to its
regular quarterly $0.035 per share cash dividend on its
outstanding ClassA and ClassB Common Stock. The full text of the

on Form8-K.
