Item 4.01 Changes in Registrant’s Certifying Accountant.

On January 18, 2019, LBB & Associated Ltd., LLP (“LBB”) resigned as the Company’s independent accountant. LBB’s resignation was not the result of a disagreement on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreement(s), if not resolved to the satisfaction of LBB would have caused it to make reference to the subject matter of the disagreement(s) in connection with its report.

In its audit reports for the fiscal year ended December 31, 2016, LBB expressed doubt about the Company’s ability to continue as a going concern.

The Company has provided LBB with a copy of the disclosures set forth in this Form 8-K. LBB has provided the Company with the attached letter in response to the Company’s request.
