On March 8, 2019, SSC Technologies Holdings, Inc. (the Company) filed a prospectus supplement (the Prospectus Supplement) covering the offer and sale from time to time of up to 198,242 shares of the Companys common stock (the Shares) held by Impala Private Holdings I, LLC, the selling shareholder identified therein (the Selling Shareholder). The Selling Shareholder acquired the Shares as partial consideration in connection with its sale to the Company of Impala Private Holdings II, LLC (also known as Intralinks) on November 16, 2018. The legal opinion and consent of the Companys counsel, Davis Polk Wardwell LLP, regarding the legality of the Shares covered by the Prospectus Supplement are attached hereto as Exhibit 5.1 and Exhibit 23.1, respectively, and are incorporated herein by reference.
