Submission of Matters to a Vote of Security Holders

The Company held its Annual Meeting of Stockholders on May 11,
2017. For more information about the proposals set forth below,
please see the Companys definitive proxy statement filed with the
Securities and Exchange Commission on March 31, 2017. There were
32,001,046 shares of the Companys common stock outstanding as of
March 24, 2017, the record date for the Annual Meeting, and there
were 28,806,817 shares of the Companys common stock present in
person or by proxy at the Annual Meeting. The final voting
results for each proposal are set forth below.

Proposal No. 1 Election of seven directors to the Board of
Directors to serve for one-year terms ending at the 2018 Annual
Meeting of Stockholders

The Companys stockholders elected the following nominees as
directors for terms expiring at the Companys 2018 Annual Meeting
of Stockholders: Michael J. McConnell, Michael B. Brodsky,
Bradley J. Goldberg, Ian V. Jacobs, John H. Lewis, Walter L.
Turek and Daniel M. Rosenthal.

Other Events

In connection with the Annual Meeting of Stockholders held on May
11, 2017, Bradley J. Goldberg was appointed as Chairman of the
Companys Board of Directors, a role previously held by Michael J.
McConnell.Mr. Goldberg will no longer serve on the Nominating or
Compensation Committees of the Companys Board of
Directors.Additionally, Michael B. Brodsky was appointed to the
Audit Committee of the Companys Board of Directors and will serve
as the committees Chairman.
