ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

The Company announced today that effective October1, 2018, Brian J. McDade, age 39, will succeed Andrew Juster, age 66, as Executive Vice President and Chief Financial Officer of Simon Property Group,Inc. (“Simon”). Mr.McDade has been with Simon for more than 14 years and has served as Simon’s Senior Vice President and Treasurer since 2014, managing Simon’s capital market activities, maintaining banking and lending relationships, and leading the treasury function. As previously announced, Mr.Juster will retire from Simon at the end of this year.
