On April 24, 2017, Scripps Networks Interactive, Inc. (the “Company”) entered an employment agreement (the “Agreement”) reappointing Cynthia L. Gibson to the position of Executive Vice President, Chief Legal and Business Affairs Officer. The terms of the Agreement are retroactive to January 1, 2017, continuing until December 31, 2019. Under the employment agreement, Ms. Gibson will receive an annual base salary of not less than $800,000, with a target annual incentive opportunity of 85% of her base salary.
