On February1, 2018, Santander Holdings USA, Inc. (the “Company”) issued a press release announcing that the Company has commenced a cash tender offer to purchase up to $400,000,000 in aggregate principal amount of its outstanding 3.450% Senior Notes due 2018 and 2.700% Senior Notes due 2019. The tender offer is being made exclusively to an offer to purchase dated February1, 2018, which sets forth the terms and conditions of the tender offer.
