Section8 Other Events

Sanderson Farms, Inc. (the Registrant) was named as a defendant
in a lawsuit filed on June22, 2017 in the United States District
Court for the Northern District of California by three non-profit
corporations: Organic Consumers Association, Friends of the
Earth, and Center for Food Safety. The complaint alleges that the
Registrant is violating the California Unfair Competition Law and
the California False Advertising Law by representing that its
poultry products are 50% Natural products raised with 50% Natural
farming procedures. Among other things, the plaintiffs allege
that the Registrants products contain residues of human and
animal antibiotics, other pharmaceuticals, hormones, steroids and
pesticides. The plaintiffs seek an order enjoining the Registrant
from continuing its allegedly unlawful marketing program and
requiring the Registrant to conduct a corrective advertising
campaign; an accounting of the Registrants profits derived from
the allegedly unlawful marketing practices; and attorneys fees,
costs and interest. The lawsuit is in its early stages and the
Registrant intends to defend it vigorously.

Sanderson Farms, Inc. is a poultry processing company. The Company is engaged in the production, processing, marketing and distribution of fresh and frozen chicken, and also preparation, processing, marketing and distribution of processed and minimally prepared chicken. It sells ice pack, chill pack, bulk pack and frozen chicken, in whole, cut-up and boneless form, under the Sanderson Farms brand name to retailers, distributors, casual dining operators, customers reselling frozen chicken into export markets. The Company, through its subsidiaries, Sanderson Farms, Inc. (Production Division) and Sanderson Farms, Inc. (Processing Division), conducts its chicken operations. Sanderson Farms, Inc.
