On December19, 2016, Roper Technologies, Inc. (the Company)
consummated the issuance and sale of $500,000,000 principal
amount of its 2.800% Senior Notes due 2021 (the 2021 Notes) and
$700,000,000 principal amount of its 3.800% Senior Notes due 2026
(the 2026 Notes, together with the 2021 Notes, the Notes) to an
underwriting agreement dated December8, 2016 between the Company
and J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner
Smith Incorporated and Wells Fargo Securities, LLC, as
representatives of the several underwriters named therein. The
Notes have been issued to an Indenture dated as of August4, 2008
(the Indenture) between the Company and Wells Fargo Bank,
National Association, as trustee.
The Notes have been offered to the Companys Registration
Statement on Form S-3ASR dated November24, 2015 (Reg.
No.333-208200), including the prospectus contained therein (the
Registration Statement), and a related preliminary prospectus
supplement dated December8, 2016 and a final prospectus
supplement dated December8, 2016.
The material terms and conditions of the Notes are set forth in
the Officers Certificate filed herewith as Exhibit4.1 and
incorporated by reference herein and in the Indenture filed as
Exhibit 4.2 to the Company Quarterly Report on Form 10-Q filed
with the Securities and Exchange Commission on November7, 2008.
