Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
Effective as of February28, 2017, the Board of Directors of RH
(the Board) amended Section3.5(b) of the bylaws of RH in order to
permit special meetings of the Board to be called by (i)the
Chairman of the Board or the Chief Executive Officer or (ii)the
Secretary upon the request of a majority of the directors then in
office (the Amendment). Prior to the Amendment, Section3.5(b) of
RHs bylaws provided that special meetings of the Board may be
called by the Board. A copy of RHs amended and restated bylaws,
as modified by the Amendment, is attached hereto as Exhibit 3.1
and is incorporated herein by reference.
