On May 24, 2017, Red Hat Limited, an Irish limited liability
company, Red Hat, Inc., a Delaware corporation (Red Hat), Codenvy
S.A., a Luxembourg public limited liability company (Codenvy),
all of the shareholders of Codenvy, and Tyler Jewell, as
representative of the Codenvy shareholders, entered into a Stock
Purchase Agreement (the Purchase Agreement) to which, upon the
satisfaction or waiver of the closing conditions set forth in the
Purchase Agreement, Red Hat Limited will acquire all of the
issued and outstanding shares of Codenvy (the Acquisition). The
closing of the Acquisition is conditioned upon customary closing
conditions. A press release announcing this transaction, as well
as information on the anticipated impact of such transaction on
Red Hats guidance for its first fiscal quarter ending May 31,
2017 and fiscal year ending February28, 2018, was issued on
May25, 2017 and is furnished herewith as Exhibit99.1 to this
Current Report on Form 8-K.
