On June 12, 2019, Realty Income Corporation (the “Company”) entered into a purchase agreement with Citigroup Global Markets Inc., BNY Mellon Capital Markets, LLC, Credit Suisse Securities (USA) LLC, Goldman Sachs & Co. LLC, Mizuho Securities USA LLC and U.S. Bancorp Investments, Inc. as representatives (the “Representatives”) of the underwriters listed therein (the “Underwriters”), to which the Company agreed to issue and sell $500,000,000 aggregate principal amount of its 3.250% Notes due 2029. The offering is anticipated to close on June 19, 2019 subject to the satisfaction of customary closing conditions.
