On May17, 2017, RealPage, Inc., a Delaware corporation
(RealPage), issued a press release announcing the pricing of its
private offering of $300 million aggregate principal amount of
its 1.50% Convertible Senior Notes due 2022 in a private offering
to qualified institutional buyers to Rule 144A under the
Securities Act of 1933, as amended (the Securities Act).RealPage
expects to close the offering on or about May23, 2017, subject to
the satisfaction of various customary closing conditions.
RealPage has also granted the initial purchasers the right to
purchase, exercisable within a 30-day period, up to an additional
$45,000,000 principal amount of notes. The press release is
furnished as Exhibit 99.1 to this Current Report on Form 8-K and
is incorporated by reference into this Item7.01.
