Reading International, Inc.’s (“we,” “our,” “us,” “Reading” or the “Company”) 2019 Annual Meeting of Stockholders (the “2019 Annual Meeting”) will be held on May 7, 2019, at 11:00 a.m. local time, at its Corporate Headquarters located at 5995 Sepulveda Blvd., Suite 200, Culver City, California 90230. The record date for the determination of Stockholders entitled to receive notice of and to vote at the 2019 Annual Meeting shall be the close of business on April 12, 2019.Because the date of the 2019 Annual Meeting differs by more than thirty (30)days from the anniversary date of the 2018 Annual Meeting of Stockholders (the “2018 Annual Meeting”), which was held on November 7, 2018, the Company is providing this information in accordance with Rule 14a-5(f) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
Deadline for Stockholder Proposals Submitted to Rule 14a-8 of the Exchange Act
As noted above, the 2019 Annual Meeting date represents a change of more than thirty (30)days from the anniversary date of the 2018 Annual Meeting.As a result, to Rule 14a-8 under the Exchange Act, the Company has set a new deadline for the receipt of any Stockholder proposals submitted to Rule 14a-8 of the Exchange Act for inclusion in the Company’s proxy materials for the 2019 Annual Meeting. to Rule 14a-8(e)(2) under the Exchange Act, such proposals must be received by the Annual Meeting Secretary on or before the close of business on April 11, 2019, which the Company has determined to be a reasonable time before it expects to begin to print and send its proxy materials.Such proposals also need to comply with the rules of the Securities and Exchange Commission regarding the inclusion of Stockholder proposals in the Company’s proxy materials, and may be omitted if not in compliance with applicable requirements

Reading International, Inc. (RDI) is focused on the development, ownership and operation of multiplex cinemas, and retail and commercial real estate in the United States, Australia and New Zealand. The Company operates through two segments: cinema exhibition and real estate. The cinema exhibition segment operates multiplex cinemas. RDI’s real estate segment includes real estate development and the rental of retail, commercial and live theater assets. It manages cinema exhibition businesses around the world under various brands, including Reading Cinema, Angelika Film Centers, Consolidated Theatres and City Cinemas brands in the United States; under the Reading Cinema brand in Australia, and under the Reading Cinema and Rialto brands in New Zealand. It owns and operates approximately 50 cinemas with over 430 screens, has interests in certain unconsolidated joint ventures and entities, and manages a cinema with approximately four screens.
