Item 1.01.Entry into a Material Definitive
Agreement.
On December 23, 2016, Propel Media, Inc. (the Company),
certain of its subsidiaries as Borrowers and certain other of its
subsidiaries as Guarantors entered into an amendment (the
Amendment) to that certain financing agreement, dated as
of January 28, 2015 (Financing Agreement), with certain
financial institutions as Lenders, HPS Investment Partners, LLC,
as collateral agent for the Lenders, and PNC Bank, National
Association, as a Lender and administrative agent for the
Lenders. to the Amendment, the Total Leverage Ratio (as defined
in the Financing Agreement) under the Financing Agreement was
increased from 2.98:1.00 to 3.25:1.00 for December 31, 2016.

attached to this Form 8-K as an exhibit and is incorporated
herein by reference.
