Inc. (the Company) elected Vincent J. Morales as Senior Vice
President, Finance and Chief Financial Officer, effective March
1, 2017. Biographical information for Mr. Morales is included in
the press release attached hereto. In connection with Mr.
Moraless appointment, effective March 1, 2017, Mr. Moraless
monthly salary will be increased to $41,667 and he will be
eligible for a target cash bonus under the Incentive Compensation
Plan of $450,000. In February 2017, Mr. Morales will receive a
grant of stock options, restricted stock units and total
shareholder return contingent shares with an aggregate value of
$800,000 at the time of grant.
President and Chief Financial Officer of the Company, informed
the Company of his intention to retire effective March 1, 2017.
