Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On August 10, 2018, the board of directors ("Board") of Plantronics, Inc. ("Plantronics" or "Company") increased the authorized number of directors of the Board from ten to eleven and appointed Ms. Kathy Crusco, 52, as a member of the Board and will also serve on the Audit Committee of the Board.
In connection her appointment to the Board, Ms. Crusco(i) was granted a restricted stock unit award for Plantronics common stock having a fair market value of $200,000 to Plantronics amended and restated 2003 Stock Plan and Outside Director Compensation Policy, (ii) will receive a standard quarterly non-employee director cash retainer of $12,500, (iii) will receive a standard quarterly cash retainer for her membership on the Audit Committee of $3,750, and (iv) will enter into a standard director indemnification agreement with Plantronics.
