ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On March 1, 2018, Perficient announced that its Board of Directors (the “Board”) authorized an amendment to Perficient’s previously disclosed stock repurchase program to increase the overall amount of the program by $25,000,000, thereby increasing the total authorization under the program to $160,000,000, and to extend the expiration date for the program fromDecember 31, 2018 to December 31, 2019.
