issued a press release announcing the initiation of a quarterly

Item 8.01. Other Events
The Companys Board of Directors hasestablished a dividend program
under which the Company intends to pay a regular quarterly cash
dividend to its shareholders. The initial quarterly cash dividend
of $0.05 per share is payable on March 15, 2017 to shareholders
of record as of the close of business on February 22, 2017.
Subsequent dividend declarations and the establishment of record
and payment dates for such future dividend payments, if any, are
subject to the Board of Directors continuing determination that
the dividend policy is in the best interests of the Companys
shareholders as well as compliance with applicable legal
requirements. The dividend program may be suspended or cancelled
at the discretion of the Board of Directors at any time.
