Submission of Matters to a Vote of Security Holders

(the Company), held its 2017 Annual Meeting of Stockholders (the
Annual Meeting). There were present at the Annual Meeting in
person or by proxy stockholders holding an aggregate of
11,275,021 shares of the Companys common stock, out of a total
number of 13,203,216 shares of the Companys common stock issued
and outstanding and entitled to vote at the Annual Meeting. The
following matters were submitted at the Annual Meeting to the
Companys stockholders for consideration:

The election of two Class II directors who will serve for
three years, or until their successors are elected and qualified; and |

The ratification of the selection by the Audit Committee of
the Companys Board of Directors of BDO USA, LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2017. |
II Directors until the 2020 annual meeting of stockholders, or
until their successors are elected and qualified, and the
appointment of BDO USA, LLP as the independent registered public
accounting firm for the Company for the fiscal year ending
December 31, 2017 was ratified.
