Item 8.01. Other Events.

On November30, 2017, NRG Energy,Inc. (“NRG”) issued a press release announcing its proposed offering of $870million in aggregate principal amount of senior notes due 2028 (the “Offering”). A copy of the press release announcing the Offering is attached hereto as Exhibit99.1 and incorporated by reference herein.

Also on November30, 2017, NRG issued a press release announcing the commencement of a tender offer to purchase any and all of the approximately $869.2 million outstanding aggregate principal amount of its 6.625% senior notes due 2023 (the “Tender Offer”). A copy of the press release announcing the Tender Offer is attached hereto as Exhibit99.2 and incorporated by reference herein.

Additionally, on November30, 2017, NRG issued a press release announcing the pricing of the senior notes to be issued and sold to the Offering. A copy of the press release announcing the pricing of the senior notes to be issued and sold to the Offering is attached hereto as Exhibit99.3 and incorporated by reference herein.
