On February 19, 2017, Northern Trust Corporation (the “Corporation”) entered into a definitive agreement with UBS AG to acquire UBS Asset Management’s fund administration servicing business in Luxembourg and Switzerland, for an initial purchase price of CHF 175 million (approximately $175 million) in cash, subject to adjustment. The transaction is expected to close in the second half of 2017, subject to applicable regulatory and fund board approvals and other customary closing conditions. A copy of the press release announcing the agreement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
