Entry into a Material Definitive Agreement.
On March9, 2018, Noble Energy, Inc. (the “Company”) and NBL International Finance B.V., an indirect wholly owned subsidiary of the Company, entered into a Third Amendment (the “Third Amendment”), with JPMorgan Chase Bank, N.A., as administrative agent, Citibank N.A., as syndication agent, and Bank of America, N.A., The Bank of Tokyo-Mitsubishi UFJ, Ltd., Mizuho Bank, Ltd. and DNB Bank ASA, New York Branch, as documentation agents, and the other commercial lending institutions party thereto. The Third Amendment amends certain provisions of the Credit Agreement dated as of October14, 2011 (as increased by the Commitment Increase Agreements each dated as of September28, 2012, as amended by the First Amendment to Credit Agreement, dated as of October3, 2013, and as amended by the Second Amendment to Credit Agreement, dated as of August27, 2015 the “Credit Agreement”).
The Third Amendment amends the Credit Agreement to, among other things, extend the maturity date of the Credit Agreement from August27, 2020 to March9, 2023, and reallocate commitment amounts among the continuing and newly participating lending institutions. Under the Third Amendment, the aggregate commitments of the participating lending institutions remain unchanged at $4.0billion, and the swingline and letter of credit sub-facilities remain unchanged at $600million and $450million, respectively.
Certain lenders that are a party to the Third Amendment and their respective affiliates have from time to time performed, and may in the future perform, various financial advisory, commercial banking and investment banking services for the Company and its affiliates in the ordinary course of business for which they have received and would receive customary compensation. In addition, in the ordinary course of their various business activities, such parties and their respective affiliates may make or hold a broad array of investments and actively trade debt and equity securities (or related derivative securities) and financial instruments (including bank loans) for their own account and for the accounts of their customers, and such investments and securities activities may involve the Company’s securities and/or instruments.
