Agent to the Contingent Value Rights Agreement, dated as of
January13, 2017, by and between the Company and the Rights Agent
(filed as Exhibit 10.1 to the Companys Current Report on Form 8-K
filed on January17, 2017). The Calculation Notice is attached
hereto as Exhibit 99.1, which information is incorporated herein
by reference.
