issued a press release announcing that on November 29, 2016 the
Company had priced its offering, through a Rule 144A private
placement, of $87,500,000 aggregate principal amount of 4.00%
Convertible Senior Notes due 2021 (the Notes). In addition, the
Company granted the underwriters the right to purchase within a
30-day period up to an additional $12,500,000 aggregate principal
amount of Notes. The Company intends to use approximately $84.5
million of the net proceeds from this offering to retire existing
indebtedness and for general corporate purposes. Credit Suisse
Securities (USA) LLC, J.P. Morgan Securities LLC and Merrill
Lynch, Pierce, Fenner Smith Incorporated are acting as joint
book-running managers for the offering, which is expected to
close on or about December 5, 2016. A copy of the press release
is attached as Exhibit 99.1 to this Current Report on Form 8-K.
