Listing Rule or Standard; Transfer of Listing
On March 17, 2017, National General Holdings Corp. (the Company)
received a notification letter (the Notice) from the Nasdaq
Listing Qualifications Department (“Nasdaq”) stating that because
the Company had not yet filed its Annual Report on Form 10-K for
the year ended December 31, 2016 (the “Form 10-K”) with the
Securities and Exchange Commission (the “Commission”), it was not
in compliance with the continued listing requirements under
Nasdaq Listing Rule 5250(c)(1).
With the filing of the Companys Form 10-K on March 23, 2017, the
Company has regained compliance with the applicable listing rule.
On March 23, 2017, the Company issued a press release disclosing
its receipt of the notification letter from Nasdaq in accordance
with Nasdaq Listing Rule 5810(b), a copy of which is attached as
Exhibit 99.1 to this Form 8-K and is incorporated herein by
reference as if fully set forth herein.
