On November29, 2017, the Board of Directors of Mueller Water Products, Inc. (the “Corporation”) approved an amendment and restatement of the Corporation’s Bylaws (the “Amended and Restated Bylaws”), effective immediately, to provide that directors shall be elected by the affirmative vote of a majority of the votes cast at a meeting of stockholders in uncontested director elections, and to make certain other technical and conforming changes. The Amended and Restated Bylaws are attached hereto as Exhibit 3.1, and are incorporated herein by reference.
