The Company held its Annual Meeting on June 15, 2017 in Somerset,
New Jersey. As of April 17, 2017, the record date, there were
10,487,677 shares of Common Stock outstanding. The proposal
considered at the Annual Meeting is described in detail in the
Proxy Statement as filed on April 14, 2017 with the Securities
and Exchange Commission. The proposal described below was voted
upon at the Annual Meeting and the number of votes cast with
