Regulation FD Disclosure.

On April26, 2017, Matador Resources Company (the Company) issued
a press release announcing that the Company commenced an offer to
exchange up to $175 million of its outstanding 6.875% Senior
Notes due 2023, which were privately placed on December9, 2016,
for a like principal amount of 6.875% Senior Notes due 2023 that
have been registered under the Securities Act of 1933, as amended
(the Securities Act). A copy of the press release is furnished as
Exhibit 99.1 to this Current Report on Form 8-K.

The information furnished to this Item7.01, including Exhibit
