On May24, 2018, Matador Resources Company (the “Company”) was notified that Steven W. Ohnimus, age 71, was resigning from the Board of Directors (the “Board”) of the Company effective concurrently with the election of the nominees for director at the Company’s 2018 annual meeting of shareholders to be held on June7, 2018 (the “Annual Meeting”). Dr.Ohnimus is not a nominee for director at the Annual Meeting. Dr.Ohnimus has served as a director of the Company since 2004 and served as chair of the Operations and Engineering Committee and as a member of the Audit, Nominating, Strategic Planning and Compensation, Corporate Governance and Prospect Committees. Dr.Ohnimus is resigning in order to focus his attention on recent health issues and his decision was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
The Company wishes to thank Dr.Ohnimus for his many years of dedicated service to the Company and the Board and his many contributions to the Company’s success. The Company also wishes him a full and complete recovery.
