As of the close of business on the record date of May25, 2017, there were 33,956,021 shares of the Company’s common stock outstanding and entitled to vote at the Annual Meeting. The number of shares of the Company’s common stock present at the meeting, in person or by proxy, was 30,285,503, or 89.2% of the outstanding shares.
