On March7, 2017, Lumos Networks Corp. (the Company) issued a
press release announcing its results of operations and financial
condition for the year ended December31, 2016. A copy of the

reference to a certain definitive agreement dated February18,
2017 under which the Company will be acquired by EQT
Infrastructure (the Merger Agreement). The Company filed a

press release issued by the Company announcing the Merger
Agreement, which is incorporated by reference herein.
On February22, 2017, the Company filed a Current Report on
Form8-K including information required by Item1.01 and a copy of
the Merger Agreement, which is also incorporated by reference
herein.
