On February 21, 2017, LSI Industries Inc., an Ohio corporation
(LSI or the Company), filed a Current Report on
Form 8-K (the Original Filing) to report the Companys
acquisition of Atlas (defined below) to the Stock Purchase
Agreement (the Purchase Agreement) dated February 21, 2017
by and among LSI, Atlas Lighting Products, Inc., a North Carolina
corporation (Atlas), James Hewes Bennett and Rector Samuel
Hunt III. This Form 8-K/A is being filed to amend the Original
Filing to provide the required financial statements and pro forma
condensed combined financial information described below.
Capitalized terms used in this Current Report but not defined
herein shall have the respective meanings assigned thereto in the
Original Filing.

The audited financial statements of Atlas Lighting Products, Inc.
for the years ended December 25, 2016 and December 25, 2015,
including the notes to such financial statements, are

Atlas, including the pro forma condensed combined balance sheet
as of December 31, 2016, the pro forma condensed combined
statement of operations for the fiscal year ended June 30, 2016
