On March16, 2017, LSC Communications, Inc. (the Company) issued a
press release announcing that R.R.Donnelley Sons Company, a
stockholder of the Company (the Selling Stockholder), intends to
offer 6,242,802 shares of the Companys common stock, par value
$0.01 per share (the Common Stock), in an underwritten public
offering, subject to market conditions. The Company also
announced that it intends to grant the underwriters a 30-day
option to purchase up to an additional 936,420 shares of the
Companys common stock.
A copy of the press release is attached hereto as Exhibit 99.1
and incorporated herein by reference.
