Item 8.01. Other Events.

On December 27, 2016, Long Island Iced Tea Corp. (the
Company) consummated its previously announced underwritten
public offering (the Offering) of 406,550 shares (the
Shares) of the Companys common stock, through Network 1
Financial Securities, Inc. (the Network 1) and Dawson
James Securities, Inc., as underwriters, to the terms of the
underwriting agreement, dated December 21, 2016, between the
Company and Network 1, as representative of the underwriters. The
Shares were sold for a price to the public of $4.00 per share.
The Offering generated total net proceeds, after underwriting
discounts and payment of other offering expenses, of
approximately $1.4 million.

The Offering was made to the Companys existing shelf registration
statement on Form S-3 (File No. 333-213874), which was filed with
the Securities and Exchange Commission (SEC) on September
30, 2016 and declared effective by the SEC on October 14, 2016,
and is described in more detail in a prospectus supplement dated
December 21, 2016 and the accompanying base prospectus dated
October 14, 2016.
