Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 18, 2018, the Board of Directors (the “Board”) of Live Nation Entertainment, Inc. (“Live Nation”) elected Maverick Carter as a member of the Board. Mr. Carter has not been appointed to any Board committees at this time.
There is no arrangement or understanding between Mr. Carter and any other person to which Mr. Carter was elected as a director. There are no transactions in which Mr. Carter has an interest requiring disclosure under Item 404(a) of Regulation S-K. In connection with his appointment to the Board, on December 18, 2018: (i) Mr. Carter was granted 1,296 shares of Live Nation restricted common stock to the company’s non-employee director compensation plan, which shares represent a prorated portion of the annual non-employee director grant and will vest on June 6, 2019, and (ii) Mr. Carter and Live Nation entered into Live Nation’s form indemnification agreement for directors, a copy of which is attached hereto as Exhibit 10.1 and incorporated herein by reference.A copy of the press release issued by Live Nation on December 20, 2018 in respect of Mr. Carter’s appointment to the Board is attached hereto as Exhibit 99.1 and incorporated herein by reference.
