Item 2.02. Results of Operations and Financial Condition.
On June 14, 2017, Liberty Tax, Inc. (the Company) issued a press
release regarding its earnings for the fiscal year ended April
30, 2017. A copy of the release is being furnished as Exhibit
99.1 hereto and incorporated herein by reference. In addition, on
June 14, 2017 at 8:30 a.m. Eastern Time, the Company will hold a
teleconference for analysts, institutional investors and
stockholders to discuss results for the fiscal year ended April
30, 2017.
The information under Item 2.02 of this Current Report on Form
8-K, including Exhibit 99.1, shall not be deemed filed for the

Item 8.01. Other Events.
On June 14, 2017, the Company also announced that its Board of
Directors approved a cash dividend to its stockholders. The
quarterly dividend of $0.16 per share will be paid on July 28,
2017 to stockholders of record at the close of business on July
14, 2017.
