Item 8.01 Other Events.

On November 15, 2016, Li3 Energy, Inc. (the “Company”) entered into an Acknowledgement and Agreement (the “Agreement”) with Wealth Minerals Ltd. (“Wealth Minerals”) to terminate the non-binding letter of intent (the “LOI”) the parties entered into on January 29, 2016. to the Agreement, the Company and Wealth Mineral will not have any further obligations to the other under the LOI except that each party will return or destroy information and materials received from the other party in connection with the LOI. The Agreement also terminated the Company’s obligation to repay the notes payable of $200,000 to Wealth Minerals.
