Item 8.01 Other Events.
In connection with the vesting of restricted stock held by
employees of Lennar Corporation (the Company), the Company may
acquire from an employee a portion of the vesting restricted
stock in satisfaction of the employees obligation to reimburse
the Company for withholding taxes that it must pay when
restricted stock vests. The Company may from time to time offer
and sell up to a total of 600,000 shares of its ClassA common
stock, par value $0.10 per share, that it acquires from
employees. Any offering and sale of those shares will be made to
the Companys registration statement on FormS-3, FileNo.333-219156,
and a prospectus supplement dated July6, 2017, filed on July6,
2017 with the Securities and Exchange Commission to Rule 424(b)
under the Securities Act of 1933, as amended. A legal opinion
relating to the 600,000 shares is filed herewith as
Exhibit5.1.
