On February 13, 2018, the Board of Directors (the “Board”) of L3 Technologies, Inc. (the “Company”) adopted an amendment and restatement of the Company’s Amended and Restated Bylaws (the “Bylaws”) to eliminate the requirement in Section 3.3 of Article III thereof that a meeting of the Board be held immediately prior to or after each annual meeting of stockholders.
