On April28, 2017, Stephen Kayes employment with Korn/Ferry
International (the Company) will end. Mr.Kaye will receive
severance benefits consistent with his previously disclosed
employment letter.

Effective April3, 2017, Mark Arian will succeed Mr.Kaye and serve
as the Chief Executive Officer of the Companys Hay Group. A copy
of the press release announcing Mr.Arians appointment as Chief
