On May 20, 2017, Craig B. Spray, Senior Vice President and Chief Financial Officer of Knoll, Inc. (the “Company”), announced his resignation effective as of June 23, 2017.
Charles Rayfield, Vice President of Finance and Corporate Controller, will assume the title of chief accounting officer and acting principal financial officer for purposes of filings under Securities Exchange Act of 1934, as amended, upon the effective resignation of Mr. Spray. Mr. Rayfield, age 37, has served as the Company’s Vice President of Finance and Corporate Controller since November 2015. Prior to that, Mr. Rayfield served as the Vice President, Corporate Controller of The Providence Service Corporation from September 2013 to November 2015 and as the Corporate Controller of BioTelemetry, Inc., from 2008 to 2013.
On May 25, 2017, the Company issued a press release regarding the resignation of Mr. Spray, a copy of which is attached as Exhibit 99.1 to this Form 8-K.
