ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On March 8, 2017, the Company issued a press release announcing
its results for the fourth quarter and year ended December 31,
2016. In the press release, the Company failed to include in its
net income attributable to shareholders $9.9 million of income
tax benefit as a result of the acquisition of CMC Industries,
Inc. On March 13, 2017, the Company issued a corrected version of
the press release that included such information (the Corrected
Press Release). A copy of the Corrected Press Release is
furnished as Exhibit 99.1 to this Amendment No. 1 on Form 8-K/A.
The information in this Form 8-K/A provided under Item 2.02 and
Exhibit 99.1 attached hereto is being furnished to, and shall not
be deemed filed with, the U.S. Securities and Exchange Commission
