As previously reported on a Form 8-K filed on May25, 2017, at the 2017 annual meeting of shareholders of Kindred Healthcare, Inc. (“Kindred”), Kindred’s shareholders voted to approve an annual advisory vote with respect to compensation of Kindred’s named executive officers.

to paragraph (d)of Item 5.07, this amendment to the previously-filed Form 8-K is being filed to report that, on August2, 2017, the Kindred Board of Directors adopted the shareholder recommendation to have an annual advisory vote with respect to compensation of Kindred’s named executive officers. The next required advisory vote on the frequency of shareholder votes on executive compensation will occur at Kindred’s 2023 Annual Meeting of Shareholders.
