Corporation (the Company) held on May16, 2017.

listed below.

The holders of the common stock of the Company elected each of
the following directors to serve a term of three years, ending
the earlier of (a)the Companys 2020 annual meeting of
stockholders and the date a qualified successor has been elected,
or (b)death, resignation or retirement. The directors were

After consideration of the stockholder voting results, the
Company has determined that it will hold an advisory vote to
approve the compensation of the Companys named executive
officers each year until the next required stockholder advisory
vote on named executive officer compensation occurs or until
the Companys board of directors otherwise determines that a
different frequency for advisory votes on named executive
officer compensation is in the best interests of the Companys
stockholders.
