Item8.01. Other Events.
On May24, 2017, JELD-WEN Holding, Inc. (the Company) announced
the pricing of a public offering of 14,000,000 shares of its
common stock (the Offering) held by Onex Partners Manager LP and
its affiliates (collectively, Onex) and certain other existing
stockholders of the Company (collectively with Onex, the Selling
Stockholders) at a public offering price of $30.75 per share.
Onex has also granted the underwriters of the Offering a 30-day
option to purchase up to an additional 2,100,000 shares of common
stock. The offering is expected to close on May31, 2017, subject
to the satisfaction of customary closing conditions.
The Company is not offering any shares of common stock in the
Offering and will not receive any proceeds from the sale of
shares in the Offering.
